SERVICE PROVIDER EMPANELMENT AGREEMENT

This Service Provider Empanelment Agreement (“Agreement”) is a legally binding agreement between:

Nalam Speciality Clinic and Oxygen Medicals, operating under the brand name Carewings.in, having its registered office at:

117, 4th Street, Vangambakkam Main Road,
Mappedu, Chennai – 600126, Tamil Nadu, India

(hereinafter referred to as “Carewings.in”, “Company”, “We”, “Us”, or “Our”)

AND

You, either as an individual professional or as a legally registered entity (“Service Provider”, “You”, or “Your”).

This Agreement becomes effective upon your registration, submission of required documents, and acceptance of these terms through the Carewings.in website, mobile platform, or written consent.

1. Purpose of Agreement

Carewings.in operates a healthcare service coordination platform that connects patients and clients with verified healthcare professionals and service providers including but not limited to:

• Nurses
• Caregivers / Attendants
• Physiotherapists
• Lab Technicians
• Dietitians
• Ambulance Providers
• Medical Equipment Suppliers

This Agreement governs your empanelment and participation as a Service Provider on the Carewings.in platform.

2. Definitions

• “Agreement” means this Service Provider Empanelment Agreement.
• “User” means any individual or entity requesting services through Carewings.in.
• “Service Provider” means the empanelled professional or entity providing healthcare or related services.
• “Services” means home healthcare, medical assistance, rental equipment supply, or any allied service offered through Carewings.in.
• “Start Date” means the date of approval and activation of your empanelment.
• “Platform” means Carewings.in website, digital system, telephonic booking channel, or any official communication method.

All monetary values are in Indian Rupees (INR).

3. Empanelment & Verification

You agree to provide valid and updated documents including but not limited to:

• Aadhaar Card
• PAN Card
• Professional Certificates
• Educational Qualifications
• Registration Certificates (if applicable)
• Police Verification (if required)
• GST Registration (if applicable)
• Bank Account Details
• Experience Certificates

Carewings.in reserves the right to conduct:

• Background verification
• Professional credential checks
• Reference checks
• Compliance review

Carewings.in may reject or suspend empanelment at its sole discretion.

4. Obligations of Carewings.in

1. List your profile on its Platform (subject to approval).
2. Share relevant service requests from Users.
3. Facilitate payment collection (where applicable).
4. Use reasonable efforts to display accurate information about your services.

Carewings.in does not guarantee a minimum number of assignments.

5. Obligations of the Service Provider

You agree to:

• Maintain valid licenses and certifications at all times.
• Provide services professionally and ethically.
• Adhere to applicable healthcare laws and regulations in India.
• Maintain patient confidentiality.
• Respond promptly to service requests.
• Avoid accepting assignments beyond your qualification.
• Inform Carewings.in immediately if unable to complete a confirmed assignment.
• Maintain proper hygiene, safety, and conduct standards.

You are solely responsible for:

• Your professional conduct
• Compliance with medical regulations
• Payment of taxes (including GST if applicable)
• Insurance (if required for your profession)

6. Independent Contractor Status

This Agreement does not create:

• Employment relationship
• Partnership
• Agency
• Joint venture

You operate as an independent contractor and shall not represent yourself as an employee of Carewings.in.

7. Fees & Commission

Carewings.in may charge a commission on assignments facilitated through the Platform.

Unless otherwise agreed in writing:

• Commission structure will be communicated during empanelment.
• Payments may be:
  • Fully online
  • Part online and part direct
  • As per package structure

Final settlements shall be processed as per agreed payment cycle. Carewings.in reserves the right to modify commission structure with prior notice.

8. Confidentiality

Both parties agree to keep confidential:

• Business strategies
• Pricing structures
• Client data
• Operational methods
• Financial information

This obligation shall survive termination for five (5) years.

You shall not solicit Carewings.in clients directly outside the platform without written consent.

9. Data Protection

• Protect patient data.
• Use client information only for service execution.
• Not store or misuse confidential medical information.
• Follow applicable data protection laws.

10. Warranty & Indemnity

You warrant that:

• All documents submitted are genuine.
• You are legally eligible to provide services.
• You will perform services with due skill and care.

You agree to indemnify and hold harmless Carewings.in, its directors, employees, and affiliates against claims arising from:

• Professional negligence
• Misconduct
• Breach of law
• Patient disputes
• Tax non-compliance

11. Limitation of Liability

Carewings.in shall not be liable for:

• Loss of income or profits
• Reputational loss
• Indirect or consequential damages
• Technical interruptions

Total liability, if proven, shall not exceed the commission earned from the Service Provider in the preceding one month.

12. Term & Termination

This Agreement shall continue indefinitely from the Start Date unless terminated.

Either party may terminate with 14 days written notice.

Carewings.in may terminate immediately if:

• You engage in misconduct.
• You breach healthcare regulations.
• You provide false documentation.
• You fail to perform confirmed assignments.
• You face insolvency or legal disqualification.

Termination does not affect completed assignments or pending dues.
