SERVICE PROVIDER EMPANELMENT AGREEMENT<\/h1>\n\n

\nThis Service Provider Empanelment Agreement (\u201cAgreement\u201d) is a legally binding agreement between:\n<\/p>\n\n

\nNalam Speciality Clinic and Oxygen Medicals<\/strong>, operating under the brand name Carewings.in<\/strong>, having its registered office at:\n<\/p>\n\n

\nMappedu, Chennai \u2013 600126, Tamil Nadu, India
\nEmail: carewings.inhealthcare@gmail.com\n<\/p>\n\n

\n(hereinafter referred to as \u201cCarewings.in\u201d, \u201cCompany\u201d, \u201cWe\u201d, \u201cUs\u201d, or \u201cOur\u201d)\n<\/p>\n\n

AND<\/strong><\/p>\n\n

\nYou, either as an individual professional or as a legally registered entity (\u201cService Provider\u201d, \u201cYou\u201d, or \u201cYour\u201d).\n<\/p>\n\n

\nThis Agreement becomes effective upon your registration, submission of required documents, and acceptance of these terms through the Carewings.in website, mobile platform, or written consent.\n<\/p>\n\n

\n\n

1. Purpose of Agreement<\/h2>\n\n

\nCarewings.in operates a healthcare service coordination platform that connects patients and clients with verified healthcare professionals and service providers including but not limited to:\n<\/p>\n\n

    \n
  • Nurses<\/li>\n
  • Caregivers \/ Attendants<\/li>\n
  • Physiotherapists<\/li>\n
  • Lab Technicians<\/li>\n
  • Dietitians<\/li>\n
  • Ambulance Providers<\/li>\n
  • Medical Equipment Suppliers<\/li>\n<\/ul>\n\n

    \nThis Agreement governs your empanelment and participation as a Service Provider on the Carewings.in platform.\n<\/p>\n\n

    \n\n

    2. Definitions<\/h2>\n\n
      \n
    • \u201cAgreement\u201d<\/strong> means this Service Provider Empanelment Agreement.<\/li>\n
    • \u201cUser\u201d<\/strong> means any individual or entity requesting services through Carewings.in.<\/li>\n
    • \u201cService Provider\u201d<\/strong> means the empanelled professional or entity providing healthcare or related services.<\/li>\n
    • \u201cServices\u201d<\/strong> means home healthcare, medical assistance, rental equipment supply, or any allied service offered through Carewings.in.<\/li>\n
    • \u201cStart Date\u201d<\/strong> means the date of approval and activation of your empanelment.<\/li>\n
    • \u201cPlatform\u201d<\/strong> means Carewings.in website, digital system, telephonic booking channel, or any official communication method.<\/li>\n<\/ul>\n\n

      All monetary values are in Indian Rupees (INR).<\/p>\n\n

      \n\n

      3. Empanelment & Verification<\/h2>\n\n

      You agree to provide valid and updated documents including but not limited to:<\/p>\n\n

        \n
      • Aadhaar Card<\/li>\n
      • PAN Card<\/li>\n
      • Professional Certificates<\/li>\n
      • Educational Qualifications<\/li>\n
      • Registration Certificates (if applicable)<\/li>\n
      • Police Verification (if required)<\/li>\n
      • GST Registration (if applicable)<\/li>\n
      • Bank Account Details<\/li>\n
      • Experience Certificates<\/li>\n<\/ul>\n\n

        Carewings.in reserves the right to conduct:<\/p>\n\n

          \n
        • Background verification<\/li>\n
        • Professional credential checks<\/li>\n
        • Reference checks<\/li>\n
        • Compliance review<\/li>\n<\/ul>\n\n

          Carewings.in may reject or suspend empanelment at its sole discretion.<\/p>\n\n

          \n\n

          4. Obligations of Carewings.in<\/h2>\n\n
            \n
          1. List your profile on its Platform (subject to approval).<\/li>\n
          2. Share relevant service requests from Users.<\/li>\n
          3. Facilitate payment collection (where applicable).<\/li>\n
          4. Use reasonable efforts to display accurate information about your services.<\/li>\n<\/ol>\n\n

            Carewings.in does not guarantee a minimum number of assignments.<\/p>\n\n

            \n\n

            5. Obligations of the Service Provider<\/h2>\n\n

            You agree to:<\/p>\n\n

              \n
            • Maintain valid licenses and certifications at all times.<\/li>\n
            • Provide services professionally and ethically.<\/li>\n
            • Adhere to applicable healthcare laws and regulations in India.<\/li>\n
            • Maintain patient confidentiality.<\/li>\n
            • Respond promptly to service requests.<\/li>\n
            • Avoid accepting assignments beyond your qualification.<\/li>\n
            • Inform Carewings.in immediately if unable to complete a confirmed assignment.<\/li>\n
            • Maintain proper hygiene, safety, and conduct standards.<\/li>\n<\/ul>\n\n

              You are solely responsible for:<\/p>\n\n

                \n
              • Your professional conduct<\/li>\n
              • Compliance with medical regulations<\/li>\n
              • Payment of taxes (including GST if applicable)<\/li>\n
              • Insurance (if required for your profession)<\/li>\n<\/ul>\n\n
                \n\n

                6. Independent Contractor Status<\/h2>\n\n

                This Agreement does not create:<\/p>\n\n

                  \n
                • Employment relationship<\/li>\n
                • Partnership<\/li>\n
                • Agency<\/li>\n
                • Joint venture<\/li>\n<\/ul>\n\n

                  You operate as an independent contractor and shall not represent yourself as an employee of Carewings.in.<\/p>\n\n

                  \n\n

                  7. Fees & Commission<\/h2>\n\n

                  Carewings.in may charge a commission on assignments facilitated through the Platform.<\/p>\n\n

                  Unless otherwise agreed in writing:<\/p>\n\n

                    \n
                  • Commission structure will be communicated during empanelment.<\/li>\n
                  • Payments may be:\n
                      \n
                    • Fully online<\/li>\n
                    • Part online and part direct<\/li>\n
                    • As per package structure<\/li>\n <\/ul>\n <\/li>\n<\/ul>\n\n

                      Final settlements shall be processed as per agreed payment cycle. Carewings.in reserves the right to modify commission structure with prior notice.<\/p>\n\n

                      \n\n

                      8. Confidentiality<\/h2>\n\n

                      Both parties agree to keep confidential:<\/p>\n\n

                        \n
                      • Business strategies<\/li>\n
                      • Pricing structures<\/li>\n
                      • Client data<\/li>\n
                      • Operational methods<\/li>\n
                      • Financial information<\/li>\n<\/ul>\n\n

                        This obligation shall survive termination for five (5) years.<\/p>\n\n

                        You shall not solicit Carewings.in clients directly outside the platform without written consent.<\/p>\n\n

                        \n\n

                        9. Data Protection<\/h2>\n\n
                          \n
                        • Protect patient data.<\/li>\n
                        • Use client information only for service execution.<\/li>\n
                        • Not store or misuse confidential medical information.<\/li>\n
                        • Follow applicable data protection laws.<\/li>\n<\/ul>\n\n
                          \n\n

                          10. Warranty & Indemnity<\/h2>\n\n

                          You warrant that:<\/p>\n\n

                            \n
                          • All documents submitted are genuine.<\/li>\n
                          • You are legally eligible to provide services.<\/li>\n
                          • You will perform services with due skill and care.<\/li>\n<\/ul>\n\n

                            You agree to indemnify and hold harmless Carewings.in, its directors, employees, and affiliates against claims arising from:<\/p>\n\n

                              \n
                            • Professional negligence<\/li>\n
                            • Misconduct<\/li>\n
                            • Breach of law<\/li>\n
                            • Patient disputes<\/li>\n
                            • Tax non-compliance<\/li>\n<\/ul>\n\n
                              \n\n

                              11. Limitation of Liability<\/h2>\n\n

                              Carewings.in shall not be liable for:<\/p>\n\n

                                \n
                              • Loss of income or profits<\/li>\n
                              • Reputational loss<\/li>\n
                              • Indirect or consequential damages<\/li>\n
                              • Technical interruptions<\/li>\n<\/ul>\n\n

                                Total liability, if proven, shall not exceed the commission earned from the Service Provider in the preceding one month.<\/p>\n\n

                                \n\n

                                12. Term & Termination<\/h2>\n\n

                                This Agreement shall continue indefinitely from the Start Date unless terminated.<\/p>\n\n

                                Either party may terminate with 14 days written notice.<\/p>\n\n

                                Carewings.in may terminate immediately if:<\/p>\n\n

                                  \n
                                • You engage in misconduct.<\/li>\n
                                • You breach healthcare regulations.<\/li>\n
                                • You provide false documentation.<\/li>\n
                                • You fail to perform confirmed assignments.<\/li>\n
                                • You face insolvency or legal disqualification.<\/li>\n<\/ul>\n\n

                                  Termination does not affect completed assignments or pending dues.<\/p>\n\n
